Terms & Conditions

1. INTERPRETATION

1.1 Definitions

Business Day: A day (other than Saturday, Sunday or public holiday) when banks in London are open.

Conditions: These terms and conditions as amended from time to time in accordance with clause 14.6.

Contract: The contract between the Supplier and the Customer for sale and purchase of Goods.

Customer: The person, firm or company purchasing the Goods.

Force Majeure Event: As defined in clause 13.1(a).

Goods: The goods set out in the purchase order.

Order: The Customer’s purchase order or written acceptance of quotation.

Supplier: www.boxesmadetomeasure.co.uk (Trading name of Cardboardboxes.co.uk Ltd, Company No. 10842651, Registered Office: Queen Street, Premier Business Park, Walsall, England, WS2 9NT).

1.2 Construction

  • References to a person include corporate and unincorporated bodies.
  • References to a party include successors and permitted assigns.
  • Statutory references include amendments and re-enactments.
  • Words such as “including” are illustrative only.
  • Writing includes email and fax.

2. BASIS OF CONTRACT

  • These Conditions apply to all agreements.
  • Quotations are valid for 14 Business Days only.
  • Contract exists upon written acceptance or when processing begins.
  • Amendments must be received before goods are loaded.
  • Customer must check order acknowledgement carefully.
  • The Contract forms the entire agreement.
  • Marketing materials are illustrative only.
  • These Conditions override any other terms.

3. GOODS

The Supplier may amend specifications to comply with statutory requirements.

4. INSPECTION

  • Customer must inspect goods upon delivery.
  • Short delivery claims must be notified immediately and in writing within 3 days.
  • Failure to notify within timeframe means goods deemed accepted.
  • Liability for short delivery limited to making good the shortage.

5. TITLE AND RISK

  • Risk passes upon delivery.
  • Title passes only after full payment is received.
  • Until payment, Customer must store and insure goods properly.
  • Supplier may recover goods if insolvency occurs.

6. PRICE AND PAYMENT

  • Prices subject to change without notice.
  • Payment time is of the essence.

7. DELIVERY

  • Delivery to agreed location.
  • Delivery dates are estimates only.
  • Packing materials are non-returnable.
  • Orders under £150 + VAT are subject to delivery charges as per schedule.
  • Delivery will only be made to the agreed address provided at the point of order, (or a neighbour in the event no one is available at the delivery time).
  • Damage claims must be reported within 4 days in writing.
  • Up to 5% quantity variance permitted.
  • Instalment deliveries may occur.
  • Additional charges may apply for special delivery requests.

8. CANCELLATION & RETURNS

  • As all of our boxes are custom-made and manufactured to your specific requirements, we are unable to accept cancellations once an order has been placed.
  • Made to measure boxes are bespoke products and can not be refunded due to the immediate manufacturing process.

9. QUALITY

Goods will be of merchantable quality and comply with description. Claims must be notified within 10 days.

10. SUITABILITY

Customer is responsible for ensuring suitability for intended purpose.

11. STORAGE

Storage charges may apply if delivery is delayed at Customer’s request.

12. LIMITATION OF LIABILITY

  • Nothing excludes liability for death, personal injury, fraud or statutory rights.
  • Liability limited to invoice value or replacement of goods.
  • No liability for consequential losses.
  • Claims limited if not reported within 14 days.

13. FORCE MAJEURE

Neither party liable for delays caused by events beyond reasonable control.

14. GENERAL

  • Supplier may assign or subcontract obligations.
  • Customer may not assign without consent.
  • Notices must be in writing.
  • Waivers must be written.
  • Invalid clauses do not affect remainder of contract.
  • No third party rights.
  • Variations must be agreed in writing.
  • Governing Law: English law. Jurisdiction: Walsall County Court.
